Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website digicraftsmedia.com and the marketing services provided by DigiCrafts Media ("DigiCrafts Media," "we," "us," or "our"). By accessing our site or engaging our services, you agree to these Terms.

1. Services

DigiCrafts Media provides digital marketing services including web design and development, search engine optimization (SEO), social media marketing, pay-per-click (PPC) advertising, online business growth and listing services. The specific scope, deliverables, timelines and fees for any engagement will be defined in a separate proposal, statement of work or service agreement ("Service Agreement").

2. Proposals & Payment

• Fees, billing cycles and payment terms are set out in your Service Agreement.
• Unless otherwise stated, invoices are due upon receipt. Late payments may incur fees or pause of services.
• Third-party costs (e.g., ad spend, software, stock assets) are billed separately or passed through.

3. Client Responsibilities

• Provide accurate information, content, access and timely approvals required to perform the Services.
• Ensure you own or are licensed to use all materials you supply to us.
• Comply with all applicable laws and platform policies (e.g., Google, Meta).

4. Intellectual Property

Upon full payment, final deliverables created specifically for you become your property, except for third-party assets, our pre-existing tools, frameworks and know-how, which remain owned by us or their respective owners. We may display non-confidential work in our portfolio unless you request otherwise in writing.

5. Performance & No Guarantees

Digital marketing results depend on many factors outside our control, including search engine algorithms, competition and market conditions. While we apply industry best practices, we do not guarantee specific rankings, traffic, leads or revenue. See our Disclaimer.

6. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only to perform under the Service Agreement.

7. Termination

Either party may terminate an engagement as described in the applicable Service Agreement. Upon termination, you remain responsible for fees and costs incurred through the termination date.

8. Limitation of Liability

To the maximum extent permitted by law, DigiCrafts Media shall not be liable for any indirect, incidental, special or consequential damages, or lost profits. Our total liability for any claim shall not exceed the fees paid by you for the Services giving rise to the claim during the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold DigiCrafts Media harmless from claims arising out of materials you provide, your use of the deliverables, or your violation of these Terms or applicable law.

10. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Denton County, Texas.

11. Changes to These Terms

We may update these Terms periodically. Continued use of the site or Services after changes become effective constitutes acceptance.
